Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Migratex Inc. ("Migratex", "we", "us", or "our"), a Canadian corporation, governing your access to and use of the Migratex platform, including all associated services, features, and content (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features. If you do not agree, you must not use the Service.
2. Definitions
- "Service" — the Migratex cloud-based immigration case management platform, including all web applications, APIs, mobile access, and related services.
- "Client" — a licensed immigration agency, consultant, or representative that subscribes to the Service.
- "End User" — an individual applicant whose personal information is entered into the Service by or on behalf of a Client.
- "Client Data" — all data, files, documents, and information uploaded, entered, or generated by or on behalf of the Client through the Service, including End User data.
- "Subscription" — the paid plan selected by the Client granting access to the Service for a defined period.
3. Description of Service
Migratex provides a cloud-based SaaS platform designed to help licensed Canadian immigration agencies manage their cases efficiently. The Service includes:
- Immigration case and applicant profile management
- Canadian immigration form generation and document management
- Secure client portal for End User data submission and document upload
- Bilingual (English/French) platform interface
- Reporting, analytics, and case tracking tools
4. Account Registration and Responsibilities
To use the Service, you must register for an account. By registering, you represent and warrant that:
- You are a licensed immigration consultant, lawyer, or agency authorized to practice in Canada
- All registration information provided is accurate, current, and complete
- You will maintain the confidentiality of your account credentials and are responsible for all activities under your account
- You will promptly notify Migratex of any unauthorized access to or use of your account
5. Subscription, Payment, and Taxes
Access to the Service requires a paid Subscription. Subscription fees are set out on our pricing page and may be updated with at least 30 days' written notice before your next billing cycle.
All fees are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes (GST/HST/QST). You are responsible for all applicable taxes based on your province of operation.
Subscriptions are billed monthly or annually in advance. Payment is due upon invoice. Failure to pay within 15 days may result in suspension of access to the Service.
Refunds are not provided for partial billing periods. If you cancel your Subscription, you will retain access until the end of the current paid period.
6. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Service for any purpose other than legitimate immigration case management
- Upload, transmit, or store any content that is unlawful, fraudulent, misleading, or that violates the rights of third parties
- Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Use the Service to transmit unsolicited commercial electronic messages in violation of CASL
- Share, resell, or sublicense your access to the Service without our prior written consent
7. Data Ownership and Portability
You retain full ownership of all Client Data. Migratex does not claim any ownership rights over Client Data. We process Client Data solely to provide the Service and in accordance with your instructions and our Privacy Policy.
Upon termination or expiration of your Subscription, you may export your Client Data within 30 days. After 30 days, we will permanently and securely delete your Client Data from our systems, unless retention is required by law.
You are solely responsible for ensuring that you have obtained all necessary consents from End Users for the collection, use, and processing of their personal information through the Service, in compliance with PIPEDA, Law 25, and all applicable privacy legislation.
8. Data Processing and Privacy
Our collection, use, and handling of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge and agree to the practices described therein.
All Client Data is stored exclusively in Canadian data centres. We do not transfer data outside of Canada unless required by law or with your express written consent.
In the event of a privacy breach affecting your data, we will notify you in accordance with the timelines and procedures required under PIPEDA and Law 25, and cooperate with you to mitigate any harm.
9. Intellectual Property
The Service, including its design, features, code, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of Migratex Inc. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you create derivative works based on the Service, without our prior written consent.
10. Service Availability
We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance (with reasonable advance notice), emergency maintenance, or events beyond our reasonable control.
We shall not be liable for any loss or damage arising from Service downtime, except as expressly set out in a separate service-level agreement (SLA) between the parties.
11. Limitation of Liability
To the maximum extent permitted by Canadian law, Migratex's total cumulative liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to Migratex during the twelve (12) months immediately preceding the event giving rise to the claim.
In no event shall Migratex be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, even if advised of the possibility of such damages.
Migratex is a technology platform and does not provide immigration advice. You acknowledge that the Service is a case management tool and that all immigration decisions, advice, and representations to IRCC are your sole responsibility.
12. Indemnification
You agree to indemnify, defend, and hold harmless Migratex, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) your failure to obtain proper consents from End Users.
13. Termination
Either party may terminate these Terms at any time by providing at least 30 days' written notice to the other party. We may also suspend or terminate your access immediately if you breach these Terms or if required to do so by law.
Upon termination, your right to access and use the Service ceases immediately. You will have 30 days to export your Client Data. After this period, your data will be permanently deleted.
Sections relating to data ownership, limitation of liability, indemnification, governing law, and any other provisions that by their nature should survive termination, shall survive.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montreal, Quebec, Canada.
15. Amendments
We reserve the right to modify these Terms at any time. Material changes will be communicated to you at least 30 days before they take effect, by email or through the platform. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
